Terms of Use

These Terms of Use explain the rules that apply when individuals, businesses, administrators, recipients, developers, and other authorized users access or use vScrawl. They cover account responsibilities, electronic-signature workflows, subscriptions, data handling, acceptable use, intellectual property, service availability, liability, and termination.

Important Notice

Please read these Terms of Use carefully before accessing or using vScrawl. These Terms form a binding agreement between you and vScrawl, the provider of vScrawl. These Terms are provided for review on the vScrawl staging website before final publication.

By creating an account, purchasing a subscription, accessing the website, using the web application, integrating an API, or otherwise using any part of vScrawl, you confirm that you have read, understood, and agree to these Terms. If you do not agree, you must not access or use vScrawl.

Important: These Terms may include limitations of liability, dispute-resolution provisions, subscription-renewal terms, and other clauses that affect your legal rights. These Terms should be reviewed and approved by the appropriate legal or compliance representative before the website is moved to production.

1. About These Terms

These Terms of Use govern access to and use of the vScrawl website, web application, electronic-signature services, document-workflow features, APIs, integrations, templates, documentation, support resources, and related services collectively referred to as the “Services.”

These Terms apply to individual users and to organizations that purchase, administer, or use the Services. If you use vScrawl for an organization, you confirm that you have authority to bind that organization, and “you” includes that organization.

Additional policies, order forms, data-processing terms, service-level commitments, or product-specific conditions may also apply. Where an executed written agreement conflicts with these Terms, the executed agreement controls to the extent of the conflict.

2. Definitions

3. Eligibility and Authority

You must be legally capable of entering into a binding agreement and must meet the minimum age required in your jurisdiction. If you use vScrawl on behalf of a company, government body, nonprofit, or other entity, you represent that you are authorized to accept these Terms for that entity.

You may not use the Services if applicable law prohibits you from doing so, if your access has previously been suspended or terminated for material breach, or if you are acting on behalf of a prohibited or sanctioned person or entity.

4. Account Registration and Security

You must provide accurate, complete, and current registration and billing information. You are responsible for maintaining the confidentiality of usernames, passwords, authentication methods, API keys, tokens, and other credentials associated with your Account.

You are responsible for activities performed through your Account unless caused solely by vScrawl’s breach of its security obligations. Notify us promptly at info@dictalabs.com if you suspect unauthorized access, credential compromise, or misuse.

5. Description of vScrawl

vScrawl is a digital-signature and document-workflow platform designed to help users prepare, send, review, approve, sign, track, and manage documents electronically. Available features may include templates, audit trails, workflow configuration, reminders, identity-verification options, branding, team administration, APIs, and integrations.

Features vary by plan, region, deployment model, product edition, and technical availability. Documentation, plan descriptions, and order forms may specify additional usage limits or functionality.

6. License and Access Rights

Subject to your compliance with these Terms and payment of applicable fees, vScrawl grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Services during the applicable Subscription term for your internal business or personal purposes.

The Services are licensed, not sold. No ownership rights in the software, source code, interfaces, documentation, trademarks, or underlying technology are transferred to you.

7. Electronic Signatures and Legal Responsibility

Electronic-signature laws differ by jurisdiction and document type. You are responsible for determining whether a specific document, transaction, signature method, identity-verification process, or retention period satisfies applicable legal requirements.

vScrawl provides technology and workflow tools; it does not provide legal advice, determine enforceability, or guarantee that every electronic signature will be accepted by a court, regulator, counterparty, or authority.

8. Customer Content and Responsibilities

You retain ownership of Customer Content. You grant vScrawl and its authorized service providers a limited right to host, process, transmit, reproduce, display, and otherwise handle Customer Content only as necessary to provide, secure, maintain, support, and improve the Services, comply with law, and enforce these Terms.

You are solely responsible for the legality, accuracy, quality, integrity, and appropriateness of Customer Content and for obtaining all notices, consents, permissions, and rights required to submit or process it.

9. Acceptable Use

You must use vScrawl lawfully and in a manner that does not harm the Services, other users, recipients, or third parties.

10. Users, Recipients, and Administrators

Customers are responsible for Users they authorize, including their conduct, permissions, settings, and use of Customer Content. Administrators may be able to access or control Users, documents, audit data, billing information, and organizational settings.

Recipients may be permitted to sign or review documents without maintaining a full paid Account. Customers remain responsible for the lawfulness of invitations, recipient information, authentication choices, and document workflows.

11. APIs and Integrations

If your plan includes API or integration access, you may use those features only within documented limits and for authorized applications. You must protect credentials, implement reasonable technical safeguards, and comply with applicable API documentation and rate limits.

Third-party integrations are subject to the third party’s own terms, privacy practices, availability, and security controls. vScrawl is not responsible for third-party services or for data processed outside vScrawl’s systems.

12. Plans, Fees, Taxes, and Billing

Pricing, included usage, billing cycles, and plan limits are described in the applicable order form, quotation, invoice, or pricing page. Unless otherwise stated, fees are charged in advance and are non-refundable except where required by law or expressly agreed in writing.

You authorize vScrawl or its payment processor to charge applicable recurring fees, taxes, and approved charges using your selected payment method. You must keep billing information accurate and promptly resolve failed payments.

Fees exclude taxes, duties, levies, withholding amounts, and similar governmental charges unless expressly stated. You are responsible for such charges except taxes based on vScrawl’s net income.

13. Renewals, Changes, and Cancellation

Subscriptions may renew automatically for successive periods unless cancelled before the renewal date in accordance with the applicable plan or order terms. Renewal pricing may reflect the then-current rate unless otherwise agreed.

You may cancel according to the process provided in your Account or contractual documentation. Cancellation generally prevents future renewal but does not entitle you to a refund for the current paid term unless required by law.

vScrawl may modify plans, limits, features, or pricing prospectively. Material changes will be communicated as required by applicable law or contract.

14. Trials, Free Plans, and Promotional Access

Trials, free plans, promotional offers, beta features, and evaluation access may be limited by time, usage, functionality, geography, or eligibility. They are provided for evaluation or limited use and may be modified, suspended, or withdrawn.

Unless expressly stated otherwise, trial and beta services are provided without service-level commitments and may contain defects or incomplete functionality. You should not rely on them for critical production workloads.

15. Data Protection and Privacy

Our Privacy Policy explains how vScrawl processes personal information in connection with the website and Services. Where required, a separate Data Processing Addendum may govern processing of personal data on behalf of a Customer.

You are responsible for providing required privacy notices, establishing a lawful basis, honoring data-subject rights, and configuring retention and access controls appropriately for your use.

16. Security

vScrawl uses administrative, technical, and organizational safeguards designed to protect the confidentiality, integrity, and availability of the Services and Customer Content. No service or transmission method can be guaranteed completely secure.

You remain responsible for endpoint security, user permissions, credential protection, recipient verification choices, and secure configuration of integrations. Additional security information may be described in the vScrawl Security Policy.

17. Data Storage, Retention, and Export

Data-retention periods may depend on your plan, configuration, deployment model, applicable law, and contractual terms. You are responsible for exporting and preserving documents and records needed for legal, regulatory, operational, or evidentiary purposes.

Upon termination or expiration, access to Customer Content may end and data may be deleted after an applicable transition or retention period. Retrieve required documents and audit records before cancellation or termination.

18. Intellectual Property

vScrawl and its licensors retain all rights, title, and interest in the Services, software, documentation, designs, APIs, trademarks, logos, interfaces, and related intellectual property. Except for the limited access rights expressly granted, no rights are transferred.

If you provide suggestions, feedback, or ideas, you grant vScrawl a worldwide, perpetual, irrevocable, royalty-free right to use and incorporate that feedback without obligation, provided that vScrawl does not publicly identify you as the source without permission.

19. Confidentiality

Each party may receive confidential information from the other. The receiving party will use reasonable care to protect such information and will use it only for purposes related to the Services and the parties’ relationship.

Confidential information does not include information that is publicly available without breach, independently developed without use of confidential information, lawfully received from another source without restriction, or required to be disclosed by law subject to appropriate notice where permitted.

20. Third-Party Services and Open-Source Components

The Services may integrate with or rely on third-party software, hosting providers, payment processors, identity-verification services, communications providers, or open-source components. Separate third-party terms may apply.

vScrawl does not control third-party services and is not responsible for their content, availability, security, acts, omissions, or changes. Your use of third-party services is at your own risk and subject to their terms.

21. Service Availability, Maintenance, and Support

vScrawl may perform scheduled or emergency maintenance, deploy updates, modify functionality, or temporarily restrict access to protect the Services or users. Service levels, if any, are governed only by an applicable written SLA.

Support scope, response targets, communication channels, and availability vary by plan. You must provide accurate information and reasonable cooperation when requesting support.

22. Suspension

vScrawl may suspend access where reasonably necessary to address security risk, unlawful activity, non-payment, material breach, misuse, harm to users or systems, legal requirements, or threats to service integrity.

Where reasonably practicable, we will provide notice and an opportunity to remedy the issue. Immediate suspension may occur where delay could cause harm, expose data, violate law, or compromise the Services.

23. Term and Termination

These Terms begin when you first accept them or use the Services and continue while you retain access. Either party may terminate as permitted by the applicable plan, order form, or these Terms.

vScrawl may terminate access for material breach, repeated violations, unlawful activity, insolvency, prolonged non-payment, or where continued service would create legal or security risk.

Upon termination, your right to use the Services ends. Provisions that by their nature should survive—including payment obligations, intellectual-property rights, confidentiality, disclaimers, limitations of liability, indemnification, and dispute provisions—will remain effective.

24. Disclaimers

To the maximum extent permitted by law, the Services are provided “as is” and “as available.” vScrawl disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, error-free operation, and any warranty arising from course of dealing or usage of trade.

vScrawl does not warrant that every document will be legally enforceable, that every recipient is correctly identified, that the Services will meet every regulatory requirement, or that all defects, threats, or interruptions will be prevented.

25. Limitation of Liability

To the maximum extent permitted by law, neither vScrawl nor its affiliates, officers, employees, licensors, or service providers will be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for loss of profits, revenue, business, goodwill, data, or anticipated savings.

Except for liability that cannot lawfully be limited, the aggregate liability arising from or relating to the Services or these Terms will not exceed the greater of: (a) the fees paid or payable by the Customer for the affected Services during the twelve months before the event giving rise to the claim; or (b) the total fees paid by the Customer for the affected Services during the twelve months preceding the event giving rise to the claim.

The limitations apply regardless of the legal theory and even if a remedy fails of its essential purpose. This limitation applies only to the extent permitted by applicable law.

26. Indemnification

To the extent permitted by law, you will defend, indemnify, and hold harmless vScrawl and its affiliates, personnel, and service providers from third-party claims, losses, liabilities, damages, penalties, and reasonable costs arising from your Customer Content, misuse of the Services, violation of these Terms, infringement of third-party rights, or violation of law.

vScrawl will provide reasonable notice of an indemnified claim and cooperation at your expense. You may not settle a claim in a manner that admits liability or imposes obligations on vScrawl without prior written consent.

27. Export Controls and Sanctions

You must comply with applicable export-control, sanctions, and trade laws. You represent that you are not located in, organized under the laws of, or ordinarily resident in a prohibited jurisdiction and are not a restricted person.

You must not use the Services for prohibited end uses or provide access to restricted persons where prohibited by law.

28. Government Use

If the Services are used by or for a government entity, the rights granted are limited to those expressly stated in these Terms and any applicable written agreement. No government-specific rights arise unless agreed in writing by an authorized representative of vScrawl.

29. Changes to the Services or Terms

vScrawl may update these Terms to reflect legal, regulatory, security, operational, or product changes. The updated version will include a revised effective date and will be posted through an appropriate channel.

Where required, we will provide advance notice of material changes. Continued use after the effective date constitutes acceptance, except where applicable law requires express consent.

30. Governing Law and Dispute Resolution

These Terms are governed by the laws of the applicable laws governing the customer relationship and the location from which the Services are provided, excluding conflict-of-law rules. Courts located in a court or other competent forum with lawful jurisdiction over the dispute will have exclusive jurisdiction, unless the parties agree to arbitration or applicable law requires another forum.

Any mandatory consumer rights or dispute-resolution rules that apply under local law will continue to apply.

31. General Provisions

Appendix A – Third-Party and Open-Source Components

vScrawl may use third-party services and open-source components to provide, secure, maintain, and support the Services. The categories below are provided for transparency. Specific providers and components may change as the platform evolves.

Appendix B – Free, Trial, and Promotional Access

The examples below explain common permitted and prohibited uses of free, trial, beta, discounted, or promotional access. They are illustrative and do not limit the other restrictions in these Terms.
